Call for Board Nominations
The AWIS Palo-Alto Nominating and Governance Committee is pleased to invite you to apply to serve one-year term on the Executive Committee of Chapter
AWIS is governed by a board of directors who have a wide range of experience, expertise, and core competencies that provide the strategic direction of the organization.
The 2024 AWIS Board Nominations cycle will conclude with an election to fill three director positions:
•Secretary
•Treasurer
•Member at large
Job Description for BOD Member
•Serves as an advisory member of AWIS-PA and advises the Chapter
•Acts as the Chapter liaison: attends BOD meetings, reports Chapter business to members
•Reviews proposals, Coordinates and delegate specific activities to committees
•Elects representatives to regional and National AWIS meetings and to other organizations
•Appoints a Parliamentarian in the event that Parliamentary Procedures are invoked
•Meets at least quarterly; additional meetings may be called by the President or by any three Board members for Ad Hoc Meetings
Opened Positions
Secretary
•Schedule BOD Meetings, set and distribute Agenda
•Capture and keep the Minutes of Board meetings and maintain records, share BOD Minutes to Board members
•Provide additional support to the President, VP and the Board as needed
Member at Large
•Work with the President and other Board Members to achieve the purpose of AWIS Palo Alto
•Perform duties as needed by the Bylaws or by the Board
•Could serve as a backup for other board members (i.e. President or VP) as needed
Treasurer
•Reconcile Chapter dues received from AWIS National transfers, donations, manage reimbursements and other income and keep in an authorized and insured financial institution
•Disburse funds to be paid by AWIS-PA as authorized by the BOD
•Maintain financial records of AWIS-PA
•Prepare/Present a financial report annually to the membership. This is part of the AWIS PA annual report
•Submit annual IRS e-postcard filing
•Transfer all financial records and authority to the newly elected Treasurer at start of the election year

2. Communication: the ability to articulate the Association’s positions and policies as determined by the Board; Communicate with others openly, respectfully, and with care.
3. Energy: enthusiasm for the Association’s goals; inspired to help the Association achieve its full potential.
4. Commitment: Willingness and ability to devote the necessary time to fulfill Board. responsibilities and to respond in a timely manner to requests from other Board members and Association leadership.
5. Vision: Ability to imagine the future of AWIS and convey the future vision to others.
6. Courage: willingness to set a new direction for the Association
